David Morris has broad experience in corporate, and bank transactions, including mergers and acquisitions, tender offers and various corporate financing transactions, including public offerings and private placements and sale leaseback transactions. He has represented underwriters in public offerings, sellers and buyers in private placements (including commercial banks in purchasing tax exempt revenue bonds). He has represented sellers and buyers, and landlords and tenants, in commercial real estate transactions, including structuring tax free exchanges. He has issued tax opinions in connection with numerous transactions, including tax opinions in bank mergers, and other transactions, and enforceability opinions in a wide variety of financing transactions. He also has served as bond counsel in the issuance of North Carolina general obligation bonds. He also served on the committee of the North Carolina Bar Association which drafted an enforceability opinion for use by North Carolina real estate attorneys in loan transactions. In addition, he has represented commercial banks in a number of complex workout transactions, including shopping malls and manufacturing operations. He structured one of the first “forebearance” transactions in the United States in connection with the workout of tax exempt financing of three shopping malls in Virginia.

More recently, he has been involved almost exclusively in transactions involving real estate development and finance, including the purchase and sale of such real estate, and particularly structuring such transactions to achieve the desired income tax results.

  • Advised $1.0 billion plus commercial bank in connection with the income tax consequences of forming a bank holding company
