Grayson focuses his nationwide practice on real estate development and finance. He counsels clients on all aspects of real estate development including acquisition, financing, complex debt and equity financing structures, leasing and sales. He represents financial institutions and borrowers on commercial and consumer lending transactions, structuring, drafting and negotiating loan documentation for asset-based financing transactions, commercial development, general corporate representations and general business as well as advising national developers and financial institutions in connection with the financing, leasing, acquisition and construction of numerous multifamily, commercial and mixed use real estate portfolios. He advises clients in connection with:

  • acquisition, disposition, development and financing of retail, industrial, office, multifamily, condominium, residential mixed-use projects

  • Served as lender’s counsel for a $5,400,000 construction loan for a distribution warehouse in Columbus, OH.
  • Represented national homebuilder in acquisition of $15,000,000 multi-phase development in Cary, NC.
  • Represented a regional bank in a breach of contract claim resulting from a commercial lease dispute.
  • Drafted condominium documents and served as borrower’s counsel in the financing of a $65,000,000 condominium development which is the largest ever on the North Carolina coast.
  • Represented lead lender in $5,000,000 participation credit facility to regional builder.
  • Represented multiple regional and national banks with management, title curative work, and disposition of REO inventory.
  • Represented buyer of seven distressed residential subdivisions from a regional bank in one transaction.
  • Negotiated pre-foreclosure agreement and foreclosed a participated credit facility secured by real property with national retailer tenant.
  • Lender’s counsel for the workout and foreclosure of a credit relationship in excess of $25,000,000.
  • Lead counsel for multifamily developer in $23,000,000 HUD loan in Cumberland County, NC.
  • Obtained a receivership and completed foreclosure of a $7,200,000 student housing complex in Greensboro, NC for a private equity fund.
  • Represented commercial lender in the foreclosure of a $9,500,000 mixed use condominium project in Raleigh, NC.
  • Represented commercial home builder in $5,000,000 private equity loan secured by assets of borrower.
  • Advised numerous commercial landlords on retail, office and industrial leases.
  • Represented borrower in $5,800,000 refinance of apartment complex in Greensboro, NC in a Fannie Mae loan.
  • Negotiated and documented dozens of loan modifications and forbearance agreements for secured lenders.
  • Represented lender in connection with $5,000,000 asset based loan to national restaurant franchisor.
  • Drafted and negotiated loan sale agreements in excess of $30,000,000.
